1. Provider

These Terms of Service govern your use of the websites, APIs, and applications (collectively, the “Services”) operated by:

2. Scope of Services

Sunderlabs provides AI-powered tools, APIs, and applications including but not limited to:

  • Handelsregister Search — a ChatGPT App and API that retrieves publicly available data from the German commercial register (Handelsregister) and Wikidata.
  • Agent-Ready — tools and integrations for AI-agent-enabled websites.
  • Custom AI products — including AI-generated images, content, and e-commerce integrations.

By accessing or using any of our Services, you agree to these Terms. If you do not agree, do not use the Services.

3. Handelsregister Search — Specific Terms

Data source and accuracy

The Handelsregister Search service retrieves data from the official German commercial register portal (handelsregister.de), operated by the German federal states, and from Wikidata (Wikimedia Foundation, CC0 licensed). This data is public by law (§ 9 HGB — Handelsgesetzbuch).

We do not create, modify, or guarantee the accuracy of register data. Information may be outdated, incomplete, or subject to processing delays at the source. You must not rely on results for legally binding decisions without independent verification from the official register.

Acceptable use

You agree not to:

  • Use the service for automated bulk data harvesting or building competing commercial databases of register data.
  • Circumvent rate limits or access controls.
  • Use results to harass, stalk, or target individuals.
  • Represent our data as official or legally certified register extracts.

No warranty

The service is provided “as is” without warranty of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that results will be accurate, complete, or current.

4. ChatGPT Apps

Our ChatGPT Apps are distributed via the OpenAI ChatGPT app directory and are subject to OpenAI's platform terms in addition to these Terms. When using our ChatGPT Apps:

  • You may only use the apps for lawful purposes and in accordance with OpenAI's usage policies.
  • Tool inputs you provide (e.g., company names, search queries) are transmitted to our servers to fulfill the request. See our Privacy Policy for details.
  • We reserve the right to suspend access to any app at any time without notice for violations of these Terms or applicable law.

5. Intellectual Property

All software, designs, and content created by Sunderlabs are protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our Services without our prior written consent. Data retrieved from third-party sources (e.g., Handelsregister, Wikidata) is subject to the terms of those sources.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Sunderlabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from or related to the Services shall not exceed the amount paid by you to Sunderlabs in the twelve (12) months preceding the claim, or €100, whichever is greater. This limitation does not apply to liability for death or personal injury caused by our negligence, or for intentional misconduct, as required by German law (§ 309 No. 7 BGB).

7. Availability and Changes

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice. We may also update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms. The current version is always available at sunderlabs.com/terms.

8. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law provisions. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Stuttgart, Germany, to the extent permitted by law. EU consumers may also invoke the mandatory consumer protection provisions of their country of residence.
